These Terms of Use ("Terms") govern your access to and use of Shopletzy’s website, merchant platform, storefront tools, mobile applications, Super customer application, and related services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms. If you use the Services for a business or organisation, you represent that you are authorised to accept these Terms for that business or organisation.
1. About Shopletzy
Shopletzy Private Limited is incorporated under the Companies Act, 2013 and has its registered office at Level 8 & 9, Olympia Teknos Park, No. 28, SIDCO Industrial Estate, Guindy, Chennai, 600032, India. Shopletzy provides tools for merchants to create and operate digital stores, and provides customers with discovery and shopping experiences through storefronts and Super.
Shopletzy is not the seller of products offered by an independent merchant. Unless expressly stated otherwise, a purchase contract is between the customer and the merchant whose store lists the product. The merchant is responsible for product descriptions, pricing, stock, taxes, fulfilment, delivery, returns, refunds, and customer support for its products.
2. Accounts and eligibility
- You must provide accurate, current information and keep it updated.
- You are responsible for protecting your login credentials and for activity under your account.
- You must promptly notify us of unauthorised access or a security incident.
- You may not create an account or use the Services if doing so would violate applicable law or these Terms.
- You may not use another person’s account or attempt to obtain access to another account without permission.
3. Merchant responsibilities
If you use Shopletzy as a merchant, you are responsible for:
- Your business, products, services, pricing, inventory, taxes, licences, permits, and legal compliance.
- The accuracy and legality of your store content, product claims, customer communications, and promotions.
- Providing customers with required notices and handling requests relating to customer information you control.
- Fulfilling orders, processing returns and refunds, and providing support for products sold through your store.
- Ensuring that your staff, contractors, integrations, and connected accounts use the Services lawfully.
Discover is a free listing plan for merchant visibility inside Super. Paid plans may provide additional storefront, operations, payment, app, or transaction features as described on the pricing page. Features and availability may vary by plan, location, and applicable service terms.
Discover stores use an availability check-in system to help prevent customers from placing orders that a merchant may not be able to fulfil. Opening the Shopletzy merchant app counts as a check-in and normally keeps a Discover store available to accept orders for approximately 24 hours. If a merchant does not check in, we may pause order acceptance and hide the store from Super until the merchant returns and confirms availability.
Longer periods of inactivity may move a Discover store through warning, restricted, and dormant states, generally around 30, 60, and 90 days. These thresholds are operational safeguards and may be adjusted as the Services evolve. The daily check-in and dormancy policy does not apply to an active paid plan, but it may apply again if a store downgrades to the free Discover plan. If a store upgrades, downgrades, or changes plan status, the applicable availability behavior may change with that plan status.
4. Super customer services
Super helps customers discover nearby Shopletzy stores, follow stores, save addresses, receive store announcements, place store-specific orders, and view order history. Some features depend on location permission, merchant availability, delivery coverage, and the services of third parties.
Customers must provide accurate order and delivery information, use payment methods they are authorised to use, and comply with the merchant’s applicable store policies. A merchant may accept, reject, cancel, fulfil, or refund an order in accordance with applicable law and its published policies.
5. Plans, fees, and payments
Current plans, subscription prices, transaction fees, included features, and billing periods are shown on the Shopletzy pricing page or in the applicable order or subscription flow. Fees may be subject to taxes and may change prospectively with reasonable notice where required by law.
You authorise Shopletzy and its payment or billing providers to charge applicable fees to your selected payment method. You are responsible for providing valid billing information and paying amounts when due. Payment providers may apply their own terms and privacy policies.
Subscription fees are generally billed in advance. Refunds, credits, cancellations, and statutory consumer rights are governed by the applicable plan, billing flow, and law. Nothing in these Terms removes a refund or other right that cannot lawfully be excluded.
6. Your content and our intellectual property
You retain ownership of content, product information, trademarks, images, and other materials that you submit to the Services ("Your Content"). You grant Shopletzy a worldwide, non-exclusive, royalty-free licence to host, reproduce, adapt, display, transmit, and otherwise use Your Content as necessary to provide, secure, improve, and promote the Services. This licence ends when the content is deleted, except where continued use is needed for legal, security, backup, dispute, or previously created promotional materials.
You represent that you have the rights and permissions needed to submit Your Content and grant this licence. Shopletzy and its licensors retain all rights in the Services, software, designs, trademarks, documentation, and other materials that we provide. These Terms do not transfer ownership of Shopletzy intellectual property to you.
7. Acceptable use
You may not use the Services to:
- Break the law, infringe rights, deceive, defraud, harass, threaten, or harm another person.
- Sell, promote, or facilitate unlawful, counterfeit, unsafe, or restricted goods or services.
- Upload malware, interfere with the Services, probe security controls, or access data without authorisation.
- Send spam or unsolicited communications, scrape the Services, or misuse customer information.
- Impersonate Shopletzy, a merchant, another customer, or a third-party service.
- Use the Services to build or operate a competing service through unauthorised access or copying.
8. Third-party services
The Services may link to or integrate with payment providers, app stores, maps, messaging platforms, social networks, analytics tools, hosting providers, and other third-party services. Third-party services are governed by their own terms and policies. Shopletzy is not responsible for a third party’s independent products, availability, content, or practices.
9. Suspension, cancellation, and termination
You may delete your account from the account settings in the applicable Shopletzy or Super mobile app. You may also request deletion by contacting contact@shopletzy.com. Deletion is permanent. Merchants should settle outstanding fees and export store data before deleting their account.
Account, store, order, invoice, payment, security, backup, dispute, and other records may remain available for a limited period or be retained in anonymized form where needed for recovery, fraud prevention, legal obligations, or legitimate business purposes. The Privacy Policy describes the applicable deletion and retention practices.
We may restrict, suspend, or terminate access where reasonably necessary to protect the Services or users, comply with law, investigate suspected fraud or abuse, address non-payment, or enforce these Terms. Where appropriate and legally permitted, we will provide notice and an opportunity to resolve the issue. Termination does not affect rights or obligations that arose before termination.
10. Disclaimers and liability
To the maximum extent permitted by law, the Services are provided on an “as available” basis. We do not guarantee that the Services will always be uninterrupted, secure, timely, or error-free, or that they will meet every business or customer requirement. We do not guarantee the quality, safety, legality, stock, delivery, or suitability of products offered by independent merchants.
To the maximum extent permitted by law, Shopletzy will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, or for loss of profits, revenue, goodwill, or data arising from the Services or these Terms. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
You agree to indemnify Shopletzy and its personnel against claims, losses, liabilities, and costs arising from your breach of these Terms, Your Content, your products or store, your unlawful use of the Services, or your violation of another person’s rights, to the extent permitted by law.
11. Governing law and changes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to applicable consumer-protection rights, courts located in Chennai, Tamil Nadu will have jurisdiction over disputes arising from these Terms or the Services.
We may update these Terms when the Services or applicable requirements change. We will post the updated version on this page and revise the date above. If a change materially affects your rights or obligations, we will provide additional notice where required. Continued use after the effective date means that you accept the updated Terms.
